Spidwit is a platform which allows the user to find, create and post content onto social networks to those users who have signed up for this service. This helps social media content managers, community managers, small and medium enterprises (or companies that provide this service for SME’s) to engage their audience.
For herein, the Service Provider, the Software Platform, the Web Site, the Proprietor of Data Usage, will all be referred to as “Spidwit”.
Usage of Spidwit via the website spidwit.com or access via other applications allowing access to Spidwit (desktop or mobile applications) is subject to accept the following terms of use.
Spidwit reserves the right to update and change the terms of use at any time without prior notice. New features that may be added to the service are subject to Terms of Use. Violation of any of the Terms of Use will result in the closure of your account.
1 - Terms of use
You must be at least 18 years old to use this service.
A valid email address along with any other information needed to complete the registration process is required.
The user is responsible for the safe-keeping of data required for access (username and password)
Spidwit may contact the user via the associated email address for the purposes of registration, system updates or other questions and concerns regarding the user’s associated account.
Spidwit reserves the right to deny user access, or end user, at its own discretion.
2 - Payment and Access
For a brief initial period (“trial”) the service may be used without any payment. After this promotional period, the user may continue to use the free version, with limited features, or use one of the fee-based plans.
The cost of service consists of a monthly or annual flat rate based on the selected plan. The service is invoiced in advance for each month or for each year.
There are no refunds or credits for inactivity or partial use of the service.
In the event the user transitions to a more expensive plan, the price difference of the plans will be charged as prorated based on the time remaining in the billing cycle (monthly or annual).
3 - Service Changes and Fees
Spidwit reserves the right to change, suspend, or interrupt service at its discretion.
Spidwit reserves the right to modify monthly / annual plans with 30 days of warning. Any change in plan will be communicated via email to all subscribers and announced on our web page https://spidwit.com
4 - Cancellation and Termination
The user is solely responsible for the cancellation of an account subscribed to a plan. An account can be cancelled at any time using the using the appropriate button in the user profile management panel. Refunds are not given for accounts cancelled prior to the termination of a contract. However, upon cancellation no further fees will be charged to the user.
Spidwit reserves the right to (i) change, interrupt full or partial service either temporarily or permanently (ii) refuse any and all current and future use of the Service, suspend or terminate the account (or a part of it) or use the Service and remove and delete any content produced through the Service, for any reason, including the violation of Terms and conditions. SpidWit will employ every reasonable effort to contact the user via email prior to the suspension or termination of service
5 - Copyright and Ownership
SpidWit or its suppliers hold the intellectual property rights to any and all of the protected components of the Service, including but not limited to the name of the elements of the service interface, functionality, and related documentation. It is not permitted to copy, modify, adapt, reproduce, distribute, reverse engineer, decompose or disassemble any component of the service that SpidWit or its suppliers are the owners.
SpidWit does not claim any intellectual property rights on the contents collected by the Service or created with it. However, by using the Content Sharing Service, you agree that others may view and share content.
6 - Third Party Services
SpidWit aggregates content originating from third parties and their users and may contain links to third-party sites or resources.
Such Services and Contents are not under the supervision or control of SpidWit. Third parties may submit content that some people may find offensive or inappropriate: SpidWit does not assume responsibility for such content.
The user acknowledges and agrees that Spidwit is not responsible for any third-party services, content, products or services, or third-party resources, and / or the functionality of Third Party Services. SpidWit makes no guarantees regarding the security of information (including, without limitation, credit card and other personal information) that may be required to give to third parties.
The contents proposed through this Service may be incomplete, inaccurate or outdated. SpidWit assumes no responsibility for any content suggested through the Service, its integrity, correctness and / or reliability. SpidWit cannot guarantee that the service will always work, without interruptions, delays or errors.
The user acknowledges and agrees that in addition to these Terms, any use of Third Party Services is subject to the Terms and Conditions of such Services.
7 - User Content
The user accepts that any content published by the user through the Service is thus made through the use of technologies and tools provided by SpidWit. You agree that you are publishing such content as the owner of such content or having received the necessary authorizations from third parties, or to have all the rights to publish said content and that the publication of the contents is in compliance with all applicable laws.
SpidWit does not claim ownership on data, text, graphics, photographs or any other content, and their selection and arrangement, uploaded to the platform by any user.
SpidWit may, or may not, regulate User Content and claims no representation nor any guarantees regarding the accuracy, quality or integrity of any Content posted via the Service. By using the service, you acknowledge and agree that you may be exposed to material that may be offensive or objectionable.
The user agrees that SpidWit will not be held responsible under any circumstance, for any Content, including, but not limited to: errors of any Content, or any loss or damage suffered from use of User Content, or for any lack or delay in removing User Content. SpidWit reserves the right (but may never be obligated), in its sole discretion, to remove, block, modify, move, disable or permanently delete User Content from the Service with, or without, notice for any reason. The user agrees that, to the fullest extent permitted by applicable law, SpidWit must never be responsible or liable for the removal, modification or blocking of materials or User Content that may be considered offensive and must at no time be obliged to affect such removal other than as applicable by law.
8 - Gathering, Processing and Storage of Data
Personal Data and User Browsing Data are processed at the headquarters of the Data Controller and at the servers provided by Media Temple cloud providers (mediatemple.net) whose server farms may also be located outside the member countries of the Union European.
The user acknowledges and accepts that the processing of data may take place outside the member countries of the European Union, in accordance with the specifications of the Privacy Policy.
9 - General Terms
Use of the Service, including the Content, information or features contained therein, is provided "as is" and "as available" without any claim or guarantee of any kind, either expressed or implied, including but not limited to a, warranties of merchantability, fitness for a particular purpose and non-infringement. The user assumes full responsibility and risk for the use of these services.
The user will ensure not to not resell, duplicate, reproduce or exploit any part of the Service without the express written permission of SpidWit.
The user agrees not to export or collect, by any electronic or other means, email addresses or other information from other users of the Service for the purpose of sending emails or other unsolicited correspondence.
The user agrees not to act in a manner that could damage, disable, or overburden the service or its infrastructure.
The user agrees not to distribute anything that contains a virus or any program in code, files or software designed to interrupt, destroy or limit the functionality of the service or its infrastructure.
SpidWit makes no guarantees regarding (i) the possibility of using the Service, (ii) satisfaction with the Service, (iii) the availability of the service without interruption, and (iv) without errors, (v) all and any accuracy of the mathematical calculations performed by the Service, and (vi) that bugs or errors in the Service will be correct.
SpidWit, its affiliates and its sponsors are not responsible for direct, indirect, incidental, consequential, or other damages resulting from the use of the service.
If any provision of the Terms of Use is held to be invalid or otherwise unenforceable, the applicability of the remaining provisions shall not be affected.
SpidWit may but is not obligated to remove content and accounts with content deemed illegal, offensive, threatening, libelous, defamatory, pornographic, obscene or infringing the intellectual property of any part or the Conditions of Use.
This document outlines the entire agreement between you (the user) and SpidWit for the Service and supersedes any previous contract between you and SpidWit (including, but not limited to, previous versions).
